Service Agreement Offer for RADS Index

1.    General Terms

1.1. This public agreement (hereinafter referred to as the "Offer" or "Agreement") is an official offer from Cifra LLC (hereinafter referred to as the "Contractor") to provide services to individuals recognized as "Customers" in accordance with the terms of this Offer.

1.2.      Исполнитель и Заказчик для целей настоящего Договора далее совместно именуются «Стороны».

1.3. Under paragraph 2 of Article 437 of the Civil Code of the Russian Federation (hereinafter referred to as the Civil Code of the Russian Federation), this document is a public Offer, and in the event of acceptance of the conditions set forth below, the person who has accepted this Offer becomes the Customer.

1.4. Under paragraph 1 of Article 438 of the Civil Code of the Russian Federation, acceptance must be complete and unconditional. The moment of full and unconditional acceptance by the Customer of the Contractor's offer to conclude the Offer Agreement (acceptance of the offer) is considered to be the fact of the Customer's registration on the Contractor's website.

1.5. By accepting this Agreement in the manner specified in clause 1.4 of the Agreement, the Customer confirms that they have read, agree with, and fully and unconditionally accept all the terms of the Agreement without any exceptions or limitations, on the terms of accession.

1.6. The Contractor and the Customer provide mutual guarantees of their legal and contractual capacity necessary for the conclusion and execution of this Agreement.

2.    Definitions and Terms

2.1. For the purposes of this document, the following terms are used in the following meanings:

Offer (Agreement) – this public Agreement for the provision of services to the Customer, posted on the Internet at https://index.rads-doi.org/en/page/oferta.

RADS index System – the DOI registration system developed and maintained by the Contractor.

Website – the Contractor's website, located on the Internet at https://index.rads-doi.org, where the RADS index system operates.

Service – the registration of a Digital Object Identifier (DOI) in the RADS index system.

Acceptance of the Offer – the full and unconditional acceptance of this public Offer by registering the Customer on the Contractor's Website.

Customer – an individual registered as a User on the Contractor's Website, who has accepted this Offer under the terms set forth herein.

DOI – Digital Object Identifier, a standard for designating information presented on the network. DOI registration is carried out using computer software.

RADS Repository – a database developed and maintained by Cifra LLC located on the Internet at https://search.rads-doi.org.

3. Subject of the Offer

3.1. The subject of this Offer is the provision of the DOI registration Service in the RADS index system to the Customer.

3.2. The Customer can register a DOI for their works with any of these agencies: DataCite/Crossref.

3.3. The Customer must be the owner of the resources for which the DOI will be registered. In the event of copyright disputes involving third parties, the Customer must resolve them independently and at their own expense.

3.4. The Customer must control the quality of the content for which the DOI is registered. The content must have value in the field of science and education according to the criteria characteristic of each area of knowledge or field of activity.

3.5. The full list of objects available for DOI registration is posted on the Website.

3.6. The Contractor registers the data within 2 (two) working days.

3.7. The Contractor has the right to unilaterally refuse to provide the service if the Customer violates clauses 3.3 or 3.4 of the Agreement.

3.8. The Agreement for the provision of Services is considered concluded from the moment the Customer registers on the Website.

4. Terms of Service Provision

4.1. The Contractor provides Services to the Customer on the condition of their payment.

4.2. The cost of services under the Agreement is determined in accordance with the current prices and is specified on the website https://index.rads-doi.org/en#price.

4.3. Payment for the Services is made by the Customer through non-cash transfer of funds via the online payment service – Stripe.

4.4. If the Customer, for any reason, does not gain access to the paid Services, they must contact the Contractor's support service by sending a request to the email: info@index.rads-doi.org.

4.5. After the payment for DOI registration, the service is considered rendered, and the Contractor's obligations are ended.

4.6. The Contractor is responsible for storing metadata. Therefore, the Customer's metadata will be placed in the RADS Repository under CC 4.0 License.

5. Customer Registration on the Website

5.1. The provision of Services to the Customer is possible only if they create a corresponding account on the Website.

5.2. The Customer is responsible for complying with the requirements to maintain the confidentiality of the access password and not to provide it to any third parties.

5.3. If the Customer identifies any unauthorized access to their account, they must promptly notify the Contractor's support service by sending a request to the email: info@index.rads-doi.org.

6. Rights and Obligations of the Contractor

6.1. The Contractor undertakes to provide the Customer with access to the RADS index system necessary for obtaining and paying for Services, using the Customer's account.

6.2. The Contractor is responsible for storing and processing the Customer's personal data, ensuring the confidentiality of this data, and using it exclusively for the quality provision of Services to the Customer.

6.3. The Contractor reserves the right to change the terms (period) of Service provision and the conditions of this Offer unilaterally without prior notice to the Customer, by publishing these changes on the Website.

6.4. The Contractor has the right to block the Customer's account in case of violation of the rules for using the Services by the Customer.

7. Rights and Obligations of the Customer

7.1. The Customer is obliged to provide accurate information about themselves when receiving the relevant Services.

7.2. The Customer shell not to reproduce, repeat, copy, sell, or use in any way the information and materials made available to them in connection with the provision of Services, except for personal use directly by the Customer without providing access in any form to any third parties.

8. Licensing Relations

8.1. The Customer grants the Contractor the right to use the metadata of resources free of charge based on a simple non-exclusive license СС 4.0 within the limits specified by the Offer.

8.2. The Customer guarantees they hold the exclusive rights to the resources they register the DOI for.

8.3. The date of acceptance of the Offer and its terms is the moment of transfer of the rights specified in this Offer to the Contractor.

8.4. The territory where the rights to the resources can be used is not limited.

9. Liability of the Contractor. Handling of Claims

9.1. For non-performance or improper performance of obligations under this Offer, the Parties are liable under the legislation of the Russian Federation.

9.2. The Contractor is not responsible for the non-provision (or poor provision) of Services due to force majeure.

9.3. All claims regarding the quality of the Services provided, including any allegations containing a demand for a refund, must be sent by the Customer to the Contractor's support service via email: info@index.rads-doi.org.

9.4. The period for considering the Customer's claim is up to 30 (thirty) calendar days from the date the claim is received by the Contractor.

9.5. The Contractor and the Customer, taking into account the nature of the Services provided, undertake to apply a pre-trial dispute resolution procedure (negotiations, correspondence) in the event of disputes and disagreements related to the provision of Services. If it is impossible to resolve the dispute in a pre-trial manner, the Parties have the right to apply to the court at the location of the Contractor.

10. Term of the Offer

10.1. This Offer comes into force from the moment it is published on the Website on the Internet and remains in effect until it is revoked or amended by the Contractor.
